Kopi Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kopi's products and services, including our website at trykopi.ai, any related applications, and associated services (collectively, the "Service"). The Service is provided by Periplaneta, Inc. ("Kopi," "we," "us," or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1) Eligibility

You must be at least 13 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.


2) The Service

Kopi helps e-commerce brands plan and create marketing emails, including generating draft copy and responsive HTML email templates, organizing content calendars, enabling editing, and exporting output for use in third-party email platforms (for example, Klaviyo, Mailchimp, Shopify Email, or others).

No performance guarantee. We do not guarantee marketing performance, conversions, revenue, deliverability, or compliance outcomes. You are responsible for reviewing and approving any output before using it.


3) Accounts and Security

You may need an account to access some features. You agree to:

  • Provide accurate information and keep it up to date
  • Maintain the confidentiality of your credentials
  • Notify us promptly of any unauthorized access or use of your account

You are responsible for all activity under your account.


4) Integrations and Third-Party Services

The Service may allow you to connect third-party services (e.g., Shopify, Klaviyo, Mailchimp). Your use of those services is governed by their terms and policies. We are not responsible for third-party services, including changes, outages, or API limitations.

When you connect an integration, you authorize us to access and process data from that service only as needed to provide the features you enable.


5) Your Content, Brand Inputs, and Output

5.1 User Content

"User Content" includes content you submit to the Service (such as prompts, brand guidelines, product descriptions, images you upload, and URLs you provide).

You retain ownership of your User Content. You grant Kopi a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your User Content solely to operate, maintain, and improve the Service and to provide the features you request.

5.2 Brand URLs and public website information

If you provide a brand URL, the Service may fetch and process publicly available information from that site (such as brand voice cues, copy, and design references) to help generate on-brand output. You represent that you have the right to provide that URL for this purpose.

5.3 Output ownership

"Output" means the drafts, copy, designs, and HTML generated by the Service. As between you and Kopi, you own your Output to the extent permitted by law, subject to:

  • third-party rights (e.g., trademarks, copyrighted assets, or content you don't have permission to use), and
  • any license rights you granted to us in these Terms.

6) Acceptable Use

You agree not to:

  • Use the Service to create or distribute unlawful, harmful, deceptive, or fraudulent content
  • Use the Service to send spam, phishing, or malware
  • Use the Service to generate content that infringes others' intellectual property rights
  • Reverse engineer, scrape, or attempt to extract source code or underlying models (except as permitted by law)
  • Interfere with, disrupt, or bypass security measures of the Service
  • Use the Service to collect or process sensitive personal data you do not have the right to process

You are responsible for ensuring your marketing emails comply with applicable laws and industry rules (including consent, opt-out/unsubscribe requirements, and required disclosures).


7) Email Sending, Deliverability, and Compliance

Kopi may generate emails intended to be imported into third-party sending platforms. You are responsible for:

  • Reviewing and approving content, links, claims, and offers
  • Ensuring you have appropriate consent for recipients
  • Including required footer elements (e.g., unsubscribe link, physical address) where applicable
  • Configuring deliverability settings (SPF/DKIM/DMARC), sender reputation, and list quality in your sending platform

We do not guarantee inbox placement or deliverability.


8) Intellectual Property

Kopi and its licensors own all rights in the Service, including software, templates, designs, and branding (excluding your User Content and Output as described above). These Terms do not grant you rights to use Kopi trademarks except as necessary to use the Service.


9) Subscriptions, Billing, and Renewals

9.1 Paid plans

Some features require a paid subscription. Pricing and plan details are described at checkout or in your account settings.

9.2 Payment and authorization

By purchasing a subscription, you authorize us (and our payment processor) to charge your payment method for recurring fees, taxes, and any other charges you authorize.

9.3 Automatic renewal

Unless you cancel before renewal, subscriptions automatically renew at the end of each billing cycle (monthly or annual, depending on your plan).

9.4 Cancellation

You can cancel at any time through your account settings or by contacting support at rob@trykopi.ai. Cancellation stops future renewals; you will retain access until the end of your current paid period.

9.5 Refunds

Except where required by law or explicitly stated at purchase, payments are non-refundable and we do not provide refunds or credits for partial subscription periods.

9.6 Trials and promotions

If we offer a free trial or promotional pricing, we will disclose the terms at sign-up. Unless disclosed otherwise, trials may convert to a paid subscription automatically at the end of the trial period. You can cancel before the trial ends to avoid being charged.

9.7 Changes to pricing or plans

We may change pricing or plan features from time to time. If a change affects your current subscription, we will provide notice in advance (for example, via email or in-product notice) before it takes effect at renewal.


10) Confidentiality

If we provide non-public information to you (for example, beta features or roadmap details), you agree to keep it confidential and use it only to evaluate or use the Service.


11) Privacy

Our Privacy Policy describes how we collect, use, share, and retain information. By using the Service, you agree to our Privacy Policy.


12) Security

We use reasonable measures designed to protect the Service and user data. However, no system is perfectly secure, and you acknowledge you use the Service at your own risk.


13) Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOPI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KOPI DOES NOT WARRANT THAT OUTPUT IS ACCURATE, ERROR-FREE, COMPLIANT, OR SUITABLE FOR YOUR PURPOSES. YOU ARE RESPONSIBLE FOR REVIEWING OUTPUT BEFORE USE.


14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • KOPI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
  • KOPI'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KOPI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.


15) Indemnification

You agree to indemnify and hold harmless Kopi and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content or your use of Output
  • Your marketing emails (including compliance, consent, and deliverability practices)
  • Your violation of these Terms or applicable law

16) Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate your access if:

  • You violate these Terms
  • Your use creates risk or legal exposure for Kopi or others
  • We are required to do so by law

Upon termination, your right to use the Service stops. We may retain and delete data as described in our Privacy Policy and as required by applicable law.


17) Changes to the Service or Terms

We may modify the Service and these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating dates above, posting in-product notices, or sending an email). Continued use after changes means you accept the updated Terms.


18) Governing Law and Venue

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to jurisdiction and venue in those courts.


19) Miscellaneous

  • If any provision is unenforceable, the rest remains in effect.
  • You may not assign these Terms without our consent; we may assign these Terms as part of a merger, acquisition, or asset sale.
  • These Terms (together with the Privacy Policy and any plan terms shown at purchase) are the entire agreement between you and Kopi regarding the Service.
